Because of the rules regarding directors’ loans, it looks like it may become important for a company to distinguish between final or interim dividends.
The Companies Act 2006 says ‘The Company may by ordinary resolution declare dividends and the directors may decide to pay interim dividends.
We continue to recommend that companies follow a procedure when deciding when or if to pay a dividend and to ensure the correct paper work is drawn up. Otherwise a payment that claims to be a dividend won’t actually be one.
